Terms of Engagement for Consulting and Training Services.


Privacy

The Philosophy: Data Minimization.

We are engineers, not an advertising network. We believe that if a product is free, you are the product. Since we charge a premium for our services, we do not need to monetize your data.

  1. What We Collect: Only the operational data required to deliver the service (Name, Email, Billing Details, and Case Context).
  2. What We Don’t Do: We do not sell, rent, or trade your personal information to third parties. We do not use “stalker pixels” to follow you around the internet.
  3. Client Data Security: For consulting engagements, we operate under strict NDA protocols. Your proprietary data (datasets, codebases, internal metrics) never leaves our secure environment and is never used to train external models without your explicit, written consent.


Refund Policy

The Philosophy: Intellectual Property is Irreversible.

We sell high-value proprietary frameworks and executive time. Unlike a physical product, Intellectual Property (IP) cannot be “returned” once seen.

  1. Digital Products (Async Courses/Templates):
    • Policy: All Sales Are Final.
    • Reason: Once you access the Learning Management System (LMS), you have effectively consumed the IP. We cannot “un-teach” you the framework.
  2. Live Cohorts & Bootcamps:
    • Policy: Full refund available up to 7 days before the start date.
    • Reason: We limit cohorts to small groups. If you cancel last minute, you have blocked a seat that another executive could have taken.
  3. Consulting Services:
    • Policy: No refunds on completed phases (e.g., Diagnostic Audits).
    • Reason: You are paying for the diagnostic rigor and engineering time, regardless of whether you choose to implement the findings.


Terms and Conditions

The Philosophy: Clear IP Boundaries.

We work together to fix your P&L, but we need clear lines on who owns what.

  1. Intellectual Property (The Split):
    • You Own: Your data, your specific business logic, and the final production code we deploy into your environment.
    • We Own: The “Background IP”—our frameworks (O.L.C.D.), teaching materials, and generalized architectural patterns used to solve the problem. You get a permanent license to use them, but you cannot resell them as your own.
  2. Code of Conduct:
    • The AI Profit OS community is a professional space. We have a zero-tolerance policy for harassment, hate speech, or solicitation (pitching your own services to other members). Violating this forfeits your access without refund.
  3. Liability:
    • We build probabilistic systems (AI). While we engineer for high reliability (e.g., 95%+ accuracy), we do not guarantee 100% prediction accuracy. We are not liable for P&L fluctuations caused by market volatility or algorithm probability.
  4. Jurisdiction:
    • Any legal disputes will be handled in the jurisdiction of Raipur, Chhattisgarh, India.



Governance standards regarding Intellectual Property, SOWs, Refunds, and Data Privacy


01. AI Business OS (Consulting Protocols)

Engagements regarding “The Pilot Rescue,” “Diagnostic Audits,” and “Acting CTO” services are governed by the following protocols.

A. The Diagnostic Engagement

  • Definition: The Diagnostic Audit is a paid, standalone engagement. It is not a “Sales Call” or a “Free Consultation.”
  • Deliverable: A Root Cause Analysis report identifying signal latency, architectural friction, and failure modes.
  • Liability: The Audit provides strategic and technical recommendations. The decision to implement these recommendations rests solely with the Client.

B. Intellectual Property (IP) Rights

  • Client IP: Any data, proprietary algorithms, or business logic specific to the Client’s domain remains the sole property of the Client.
  • Background IP (The Frameworks): Jitin Kapila retains all rights to pre-existing frameworks, libraries, and methodologies (including the O.L.C.D. Protocol and Granularity Sync patterns) used to deliver the solution. The Client is granted a perpetual, non-exclusive, non-transferable license to use this Background IP for internal operations only.
  • Code Ownership: Upon full payment, the specific deployment code (e.g., the Python pipelines, T-Digest implementations) is transferred to the Client.

C. Statement of Work (SOW) & Scope Creep

  • All engagements are bound by a specific SOW.
  • Mechanism: We operate on an Outcome-Based or Retainer model, not hourly billing.
  • Variance: Any request falling outside the defined SOW will require a Change Order. We do not engage in informal “scope creep.”

D. Confidentiality & NDAs

  • We operate under strict NDA protocols standard for Fortune 500 engagements.
  • We do not sell, share, or anonymize Client Data for training external models without explicit written consent.


02. AI Profit OS (Training Protocols)

Policies regarding the “AI Architect Protocol,” “Bootcamps,” and async course materials.

A. Access & Licensing

  • Single-User License: Purchase grants a license to one individual. Sharing login credentials or distributing course materials (PDFs, Templates, Videos) to a team is a violation of IP law and will result in immediate termination of access without refund.
  • Enterprise Licensing: For teams of 5+, a separate Enterprise License is required. Please contact support for invoicing.

B. Refund Policy (Strict)

  • Philosophy: We sell Executive Education and Proprietary IP, not “Info-tainment.”
  • Policy:
    • Live Cohorts: Full refunds are available up to 7 days prior to the cohort start date. No refunds are processed once the cohort begins.
    • Async/Digital Products: Due to the immediate access to proprietary intellectual property, all sales are final once the Learning Management System (LMS) has been accessed.
    • Exception: If a technical error prevents access to the material, a refund will be issued if we cannot resolve the issue within 48 hours.

C. Code of Conduct

  • The “AI Profit OS” community is a professional environment for executives and engineers.
  • We maintain a zero-tolerance policy for harassment or solicitation (selling services to other members). Violators will be removed without refund.


03. General Governance

A. AI Liability Disclaimer

  • Probabilistic Nature: Artificial Intelligence and Machine Learning models are probabilistic by nature. While we engineer for high reliability (e.g., 95% accuracy), we do not guarantee 100% prediction accuracy.
  • Financial Advice: No outputs from our models or consulting advice should be construed as guaranteed financial advice. P&L outcomes depend on market conditions beyond the scope of the algorithm.

B. Data Privacy

  • We adhere to GDPR and strict data minimization principles.
  • We collect only the data required to facilitate the transaction or service.
  • We do not sell user data to third-party advertisers.

C. Dispute Resolution

  • Any disputes arising from these terms will be settled through binding arbitration. The jurisdiction for all legal matters is Raipur, Chhattisgarh, India.
